We are seeking a highly skilled and experienced “Group Legal Director” to join our teams and contribute to our continued success.
Responsibilities:
- Ensure full compliance with Egyptian laws and regulations applicable to the pharmaceutical industry, including corporate, environmental, labor, and safety standards.
- Align legal strategies with the corporate objectives of both companies and proactively identify risks. Develop mitigation strategies to minimize exposure to litigation, penalties, and other liabilities.
- Provide business-centric legal advice to senior leadership on day-to-day operations, strategic decisions, and high-value transactions. Support in navigating commercial risk while ensuring legal protection of company interests.
- Advise the executive teams on mergers, acquisitions, divestitures, joint ventures, and corporate restructuring. Support due diligence processes and legal negotiations to facilitate business growth.
- Oversee and manage legal disputes, including litigation, arbitration, and settlement negotiations. Act as the primary representative in all legal proceedings and dispute forums.
- As a true business partner, the right candidate should enjoy quite good knowledge and experience to draft, review, and negotiate contracts to ensure they protect the company’s interests and comply with both local and international legal standards. Oversee agreements with suppliers, partners, and contractors to align with corporate goals.
- Advise on workforce management and compliance with Egyptian labor laws and employment regulations. Provide counsel on employment-related issues and disputes.
- Maintain strong relationships with government authorities to facilitate licensing, permits, approvals, and compliance with pharmaceutical regulations. Act as a liaison with regulatory bodies to ensure smooth operations and address legal challenges.
- Lead the legal response to crises such as regulatory investigations, environmental incidents, and commercial disputes, providing guidance and direction to senior leadership.
- Oversee all corporate legal aspects of corporate secretarial duties. Ensure all statutory filings are completed on time.
- Efficiently manage relationships with external legal service providers, ensuring high-quality, cost-effective, and timely legal support.
Requirements:
- A qualified lawyer with membership in the Egyptian Bar Association.
- Minimum of 15 years of experience in a law firm and/or in-house counsel at a listed company, preferably within the pharmaceutical or healthcare sector.
- Fluency in both English and Arabic is essential.
- Expertise in Egyptian corporate law, regulatory frameworks, and compliance, with a focus on the pharmaceutical industry.
- Strong knowledge of labor laws, intellectual property, health and safety regulations, and environmental laws as they pertain to the pharmaceutical industry.
- Proven experience in handling legal disputes, including commercial contracts, licensing, and regulatory compliance.
- Skilled in managing and mentoring legal teams and working collaboratively with senior business leadership.
- Ability to foster relationships with government authorities, regulatory bodies, industry stakeholders, and external legal advisors.
- A proactive, strategic thinker with strong negotiation skills and attention to detail.
